Terms of Service

These Terms of Service ("Terms") govern your use of Flow State, operated by Brain-Based Workplace, LLC ("we," "us," or "our"), available at myflowstate.ai and through our desktop application (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Beta Service
Flow State is currently in beta. This means the Service is provided on an "as-is" and "as-available" basis. Features may change, be added, or be removed without prior notice. We make no guarantees regarding uptime, data preservation beyond our stated practices, or feature availability during the beta period.
We appreciate your feedback during this period and will do our best to communicate significant changes in advance.
2. Eligibility
You must be at least 13 years of age to use the Service. By using Flow State, you represent that you meet this requirement.
3. Your Account
You are responsible for maintaining the security of your account credentials. You agree to notify us promptly if you become aware of any unauthorized use of your account.
You may not share your account with others or create multiple accounts. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Your Data and Content
You own all content you create in Flow State. This includes your tasks, priorities, projects, notes, context library items, and any other data you enter into the Service.
By using the Service, you grant us a limited license to store, process, and transmit your content solely to provide and improve the Service. This includes sending your messages to our AI provider (Anthropic) to power coaching features.
You can export all of your data at any time from Settings. See our Privacy Policy for details on how we handle your data.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or its infrastructure
- Use the AI features to generate harmful, abusive, or misleading content
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or commercially redistribute the Service
- Use automated tools to scrape or extract data from the Service
6. AI-Powered Features
Flow State includes AI-powered coaching, planning, and task management features powered by Anthropic's Claude API. You understand that:
- AI responses are generated suggestions, not professional advice (legal, medical, financial, or otherwise)
- AI responses may occasionally be inaccurate, incomplete, or inappropriate
- You are solely responsible for any decisions or actions you take based on AI-generated content
- Your messages and relevant context are sent to Anthropic for processing (see our Privacy Policy for details)
7. Third-Party Integrations
The Service may integrate with third-party services such as Google Calendar. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.
You may disconnect third-party integrations at any time from your settings.
8. Intellectual Property
The Service, including its design, code, features, and branding, is owned by Brain-Based Workplace, LLC and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
9. Indemnification
You agree to indemnify, defend, and hold harmless Brain-Based Workplace, LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Feedback
If you provide us with suggestions, ideas, or other feedback about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation or compensation to you.
11. Limitation of Liability
To the maximum extent permitted by law, Brain-Based Workplace, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
13. Termination
You may stop using the Service and delete your account at any time from your account settings, or by contacting us at jack@brainbasedworkplace.com. We may also suspend or terminate your access if you violate these Terms.
Upon termination, your data will be permanently deleted from our active systems within 30 days. You may export your data before deleting your account. Sections 9 (Indemnification), 10 (Feedback), 11 (Limitation of Liability), and 12 (Disclaimer of Warranties) survive termination.
14. Dispute Resolution
Informal Resolution First. Before starting any formal proceeding, you agree to contact us at jack@brainbasedworkplace.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration. If the dispute is not resolved informally, you and Brain-Based Workplace, LLC agree to resolve it through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted by a single arbitrator in Alameda County, California (or remotely, at the arbitrator's discretion). The arbitrator's decision will be final and binding, and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You agree to resolve disputes with us only on an individual basis and not as part of a class, consolidated, or representative action.
Exceptions. Either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought there instead of arbitration.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in Alameda County, California.
16. General Provisions
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Assignment. We may assign or transfer these Terms and our rights and obligations without restriction. You may not assign or transfer your rights under these Terms without our prior written consent.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Brain-Based Workplace, LLC regarding the Service.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
